JAMES F. KEEGAN, JR., CHAIRMAN AND FOUNDER

As Chairman and founder of Bodock, Jay Keegan is no stranger to identifying opportunities and executing a plan of action to capitalize on them. Jay has led Bodock and its companies since 2003, during which time the company has experienced consistent double-digit growth in revenue, gross profit, and pretax income, without incurring any long-term debt.. He also founded or co-founded three new companies under the Bodock umbrella, all of which are growing and profitable.  Jay serves as President & Chief Executive Officer of Adams Keegan and Chief Executive Officer of Staff Line.
 
Jay’s civic involvement includes membership in St. Jude Children's Research Hospital's Memphis Club, past chairman of startup accelerator EmergeMemphis, and past director of Navy League of Memphis.  Additionally, Jay currently is involved with the Chairman’s Circle of the Greater Memphis Chamber of Commerce.  Jay holds a B.A. degree from the University of Colorado and an M.B.A. from the Kenan-Flagler Business School at the University of North Carolina at Chapel Hill.


ROBERT G. ADAMS, DIRECTOR

Bob founded Adams Keegan in 1987 and currently serves as a Director of Bodock. He previously served as President and Chief Executive Officer of Adams Keegan from April, 1987, to September, 2000, and Chairman of the Board of Directors from May, 2003, to April, 2015. He served as Chairman of the Board of Directors of the Employer Services Assurance Corporation (ESAC), the industry's self-regulating accreditation organization until 2013 and served as a member of the ESAC Board since 1998. He currently serves as a member of the Board of Directors of the National Association of Professional Employer Organizations (NAPEO), the $92B industry’s national trade association, and served as the Chairman of the NAPEO Board and Executive Committee. He also served as a member of the NAPEO Board from 1996-1997 and 2006-2011 as well as serving two terms as the President of the Mid-South regional chapter.

As an industry pioneer, he has been active in the development and formalization of the PEO industry. Bob is the recipient of the Michaeline A. Doyle Award, the association’s highest honor recognizing an individual who has provided exemplary leadership and service to the association and whose philosophy encompasses raising industry standards as well as those of his own company. Bob is a frequent presenter at industry events and is involved in regulatory and legislative issues on state and national levels. Bob holds a B.S. degree from Virginia Tech, Blacksburg, VA.


JAMES F. KEEGAN, DIRECTOR

Mr. Keegan is a private investor and has been involved in a number of mezzanine and mid-stage financing of young companies over the last 20 years. He currently is serving on the Board of Directors of Bodock and is Chairman of the Executive Committee. He was a co-founder of Morgan Keegan & Company, Inc., and served as President and COO until his retirement in 1985. He has served as Chairman of the Board of Governors of the National Association of Securities Dealers (NASD) and as Chairman of the Board of Directors of NASDAQ, Inc. Mr. Keegan served as a Director of AutoZone, Inc. from 1991 through 2004. He served on the Board of Directors of The Memphis Incubator System, Inc. (Emerge Memphis), The Regional Medical Center at Memphis Foundation and on the Advisory Board of Wunderlich Securities, Inc. Mr. Keegan holds a Bachelor of Science degree from The United States Military Academy, West Point, NY. 


JON K. THOMPSON, DIRECTOR

Mr. Thompson is the owner of Columbine Holdings. He has served as a Director for the Company since 1997 and is a member of the Compensation Committee. He was formerly the President of Taylor Machinery Company. He served as a Director for Econotech, Inc. as well as for the National Defense University Foundation and The Memphis Airport Authority. Mr. Thompson is a graduate of the United States Military Academy at West Point and holds a Master's Degree in Aerospace Engineering from the University of Texas. 


CALDWELL (COLLIE) D. LOWRANCE, JR., DIRECTOR

Mr. Lowrance is a Principal of Live Oak Investment Fund I, LLC, a mezzanine fund that invests in creditworthy middle market businesses.  Prior to Live Oak, Mr. Lowrance was the Executive Vice President of FBSciences, Inc. until the fall of 2011.  Prior to that, Mr. Lowrance was Managing Director of Investment Banking and General Counsel for Wunderlich Securities and a partner at the Bass, Berry & Sims law firm. During his 17 years of practicing law and investment banking, Mr. Lowrance worked in various areas such as mergers and acquisitions, leveraged buy-outs, joint ventures, re-capitalizations, equity and debt financings (including venture capital and private equity fund financing and private and public offerings), corporate and tax planning, and transaction negotiation and structuring. Mr. Lowrance holds a B.A. in Economics from the University of North Carolina at Chapel Hill, a J.D. from Tulane University School of Law, and a L.L.M. in Taxation from the Southern Methodist University Dedman School of Law. Mr. Lowrance is licensed to practice law in Tennessee and Arkansas. He is a former director of FBSciences Holdings, Inc., H20 Inc., and the Children’s Museum of Memphis.


BRANDON GARROTT MORRISON, DIRECTOR

Ms. Morrison has served as a Director for Adams Keegan since 2010 and is on the Audit and Executive Committees. She serves as President of MBA Corp., a family office. Brandon's civic involvement includes past service on the Boards of Vanderbilt Alumni Association and Monogram Foods, post Board Chair of St. Mary's Episcopal School and current service as a director of the Memphis Zoo, the Children's Foundation, the Second Presbyterian Church Foundation, the Dixon Gallery and Gardens, and as a member of the Baptist Memorial Community Advisory Board. Brandon holds a B.A. from Vanderbilt University and a M.B.A. from the Owen Graduate School of Management at Vanderbilt University.
